UNIVERSAL SEPARATE ACCOUNT E INVESTMENT ADDENDUM <br />1.1 Separate Account E, as referenced in this Addendum, is each pooled separate account <br />maintained by Prudential Retirement Insurance and Annuity Company (PRIAC) that is <br />described in the Appendix to this Addendum. We segregate Separate Account E assets <br />from PRIAC's other assets. Separate Account E assets are only subject to the claims of <br />investors participating in this Separate Account. <br />We maintain and operate Separate Account E in accordance with the following <br />paragraphs. <br />(A) INVESTMENTS. We invest Separate Account E assets as described in <br />the Appendix. We invest each separate account's assets primarily <br />either in <br />(a) publicly issued bonds or common stocks of domestic or <br />non -United States companies or other equity securities <br />of domestic or non -United States companies, or other <br />types of equity investments or debt types of investments, <br />(b) units of other separate accounts that We maintain or <br />(c) interests in other commingled investment funds that <br />invest primarily in either common stocks or other types <br />of equity investments or debt types of investments. <br />However, We may invest the assets in any investment that We deem to <br />be permissible under applicable law. We will invest or reinvest <br />Separate Account E assets at PRIAC's sole discretion. We will <br />credit/charge any income and any realized or unrealized gains or losses <br />under Separate Account E without regard to its other income, gains or <br />losses. <br />(B) SEPARATE ACCOUNT E EXPENSES. We may apply the following <br />expenses to Separate Account E assets. <br />(a) Separate Account Investment Management Fee. This <br />fee covers the investment management of Separate <br />Account E assets. In addition, it covers expenses and <br />taxes that We incur in establishing and maintaining each <br />investment vehicle under this Addendum. We will <br />determine this fee and apply it daily to all investors' <br />assets in Separate Account E. We allocate the fee based <br />on the value of each investor's share of Separate <br />Account E. The maximum aggregate annual rate of <br />Management Fee.will:not exceed one and three -fourth <br />GA -2020 -SAE -0805 <br />25D-64 <br />
