__ City of Santa Ana <br />insured arising out of or in connection with any contract or <br />agreement with the CITY OF SANTA ANA and OCFA." <br />ii. "This insurance is primary to, and shall not contribute with, any <br />insurance or self-insurance maintained by the City of Santa Ana <br />or OCFA, or by any of the designated additional insureds." <br />iii. "This insurance shall apply separately to each insured against <br />whom claim is made or suit is brought, except with respect to the <br />limits of the insurer's liability." <br />C. Worker's Compensation grid Professional Liability policies shall be <br />endorsed state that the insurer waives all rights of subrogation against <br />the CITY OF SANTA ANA and OCFA, and their respective officers, <br />officials, agents, employees, and volunteers for losses arising from work <br />performed by the CONTRACTOR under this Agreement. <br />3.7.4 Certificates of Insurance <br />All insurance coverages shall be confirmed by execution of endorsements <br />and certificates of insurance. CONTRACTOR is required to file the completed <br />policy endorsements and certificates with CITY OF SANTA ANA and OCFA on or <br />before the Effective Date of this Agreement, and to thereafter maintain current <br />endorsements on file with CITY OF SANTA ANA and OCFA. The completed <br />endorsements,, <br />ndorsements and certificates of insurance are subject to the approval of CITY OF <br />SANTA ANA and OCFA and shall show the CITY OF SANTA ANA as an insurance <br />CERTIFICATE HOLDER. <br />3.7.5 Indemnification and Hold Harmless Clause <br />Nothing in this section shall be construed as limiting in any way; the <br />Indemnification and Hold Harmless Clause contained in this Contract, or the extent <br />to which CONTRACTOR may be held responsible for payments of damages to <br />City of Santa Ana Page 128 <br />Fire/EMS Emergency Ambulance Transportation and Related Services <br />Request for Proposals: # 18-059 <br />August 28, 2018 <br />W 0*8 <br />
