0 City of Santa Ana <br />liable for the defense or indemnification of the CITY OF SANTA ANA or OCFA for claims, <br />actions, complaints or suits arising out of the sole negligence or willful misconduct of the <br />CITY OF SANTA ANA or OCFA. <br />The Mutual Aid Provider shall be required to include the same language in the Mutual Aid <br />Contract, indemnifying the City of Santa Ana and OCFA to the same degree as <br />Contractor. <br />3.14 COMPLIANCE WITH LAW <br />All services provided by Contractor pursuant to the Contract Documents must be rendered <br />in full. All compliance with all applicable federal, state, and local laws, rules, statutes, and <br />regulations. It will be Contractor's sole responsibility to determine which federal, state, <br />and local laws, rules, statutes, and regulations apply to the services tobe performed <br />pursuant to the Contract Documents, and to maintain compliance at all times throughout <br />the Contract term. <br />3.15 RESPONSIBILITY <br />Except as may be specifically stated herein to the contrary, it shall be the <br />responsibility of Contractor to provide all Transportation Personnel with whatever <br />resources and equipment are necessary to perform the 9-1-1 Emergency Transportation <br />Service, and to otherwise satisfy all of the terms and conditions set forth in the Contract <br />Documents at all times during the Contract term. Except where it may be specifically <br />permitted in the Contract, Contractor may not use any outside ambulance service <br />providers or other resources to satisfy its obligations to provide 9-1-1 Emergency <br />Transportation Service to the City of Santa Ana and OCFA, without first obtaining the <br />prior written consent of the City of Santa Ana. Notwithstanding the granting of any such <br />approval by the City of Santa Ana and OCFA, nothing stated herein shall relieve <br />Contractor of its duties and responsibilities under the Contract, and any additional cost <br />incurred shall not be charged to the County, City of Santa Ana or OCFA. <br />City of Santa Ana Page 133 <br />Fire/EMS Emergency Ambulance Transportation and Related Services <br />Request for Proposals: # 18-059 <br />August 28, 2018 <br />i <br />
