Section 3. Provision of Annual Reports <br />(a) Delivery of Annual Report to MSRB. The Issuer shall, or shall cause the Dissemination <br />Agent to, not later than [March 31] in each year, commencing [March 31, 20191 and to file with <br />EMMA, in a readable PDF or other electronic format as prescribed by the MSRB, an Annual Report <br />that is consistent with the requirements of Section 4 of this Disclosure Certificate; provided however, <br />that the first Annual Report due on March 31, 2019 shall consist solely of a copy of the Official <br />Statement. The Annual Report may be submitted as a single document or as separate documents <br />comprising a package, and may cross-reference other information as provided in Section 4 of this <br />Disclosure Certificate; provided, that the audited financial statements of the Issuer may be submitted <br />separately from the balance of the Annual Report and later than the date required above for the filing of <br />the Annual Report if they are not available by that date. <br />(b) Change of Fiscal Year. If the Issuer's fiscal year changes, it shall give notice of such <br />change in the same manner as for a Listed Event under Section 5(d). <br />(c) Delivery of Annual Report to Dissemination Agent. Not later than five days prior to the <br />date specified in subsection (a) for providing the Annual Report to EMMA, the Issuer shall provide the <br />Annual Report to the Dissemination Agent (if other than the Issuer). If by such date, the Dissemination <br />Agent has not received a copy of the Annual Report, the Dissemination Agent shall notify the Issuer. <br />(d) Report of Non -Compliance. If the Issuer is unable to provide an Annual Report by the <br />date required in subsection (a), the Dissemination Agent shall send a notice to EMMA in a timely <br />manner in an electronic format prescribed by the MSRB. <br />(e) Annual Compliance Certification. The Dissemination Agent shall, if the Dissemination <br />Agent is other than the Issuer, file a report with the Issuer certifying that the Annual Report has been <br />provided pursuant to this Disclosure Certificate, stating the date it was provided. <br />Section 4. Content of Annual Reports. The Issuer's Annual Report shall contain or incorporate by <br />reference the following: <br />(a) Audited financial statements of the Issuer for the preceding fiscal year, prepared in <br />accordance with the laws of the State and including all statements and information prescribed for <br />inclusion therein by the Controller of the State. I£ the Issuer's audited financial statements are not <br />available by the time the Annual Report is required to be filed pursuant to Section 3(a), the Annual <br />Report shall contain unaudited financial statements in a format similar to the financial statements <br />contained in the final Official Statement, and the audited financial statements shall be filed in the same <br />manner as the Annual Report when they become available. The audited Financial Statements of the <br />Issuer may be included in the City of Santa Ana's Comprehensive Annual Financial Report if no <br />separate Financial Statement is prepared for the Issuer. <br />(b) To the extent not included in the audited final statement of the Issuer, the Annual <br />Report shall also include the following information for the prior fiscal year, insofar as available from <br />public records: <br />(i) Table No. I — Land Use; <br />(ii) Table No. 2 — Current and Historical Assessed Valuations; <br />(iii) Table No. 4 - Ten Largest Taxpayers; <br />(iv) Table Nos. 6 and 7 — Projected Tax Revenues; and <br />E-2 <br />SA -3-79 <br />
