a. To join us as a party or otherwise bring us into a suit against any insured; or <br />b. To sue us, in connection with this insurance unless all of this Policy's terms <br />have been fully complied with. <br />However, a person or organization may sue us to recover on an agreed settlement or <br />on a final judgment against an insured; but we will not be liable for any loss that is not <br />payable under the terms of this Policy or that is in excess of the applicable Limit of <br />Liability. An agreed settlement means a settlement and release of liability signed by us, <br />the insured and the claimant or the claimant's legal representative. <br />2. Appeals <br />At our discretion, we may appeal anyjudgment that would result in a payment under this <br />Policy. When we appeal, we will pay all costs associated with the appeal in addition to <br />the limits of liability. Any such appeal will not increase our limits of liability. <br />3. Bankruptcy <br />Bankruptcy or insolvency of an insured or an insured's estate shall not relieve us of our <br />obligations under this Policy. However, any such insolvency or bankruptcy of an <br />insured or an insured's estate shall not increase our obligations including, but not limited <br />to, those with respect to any Deductible. <br />4. Cancellation <br />The first named insured may cancel this Policy by delivery thereof to us or our <br />authorized agent, or by mailing to us written notice stating when thereafter the <br />cancellation shall be effective. We may cancel this Policy by mailing to the first named <br />insured at the address shown in Item 1 of the Declarations, a notice stating when such <br />cancellation shall be effective. We may cancel this Policy for the following reasons only: <br />a. Non-payment of premium; <br />b. Fraud or material misrepresentation; or <br />C. A material change in the use of, or operations conducted at, any scheduled <br />site that would materially increase the risk insured hereunder. <br />The time of delivery or the effective date and hour of cancellation stated in the <br />notice shall become the end of the policy period. Delivery of such written <br />notice either by the first named insured or by us shall be equivalent to mailing. <br />Proof of mailing such notice shall be sufficient proof of notice. <br />We shall provide notice of cancellation not less than: <br />(1) ten (10) days prior to the effective date of cancellation for non-payment of <br />premium; or <br />(2) sixty (60) days prior to the effective date of cancellation for fraud, material <br />misrepresentation or a material change in the use of, or operations <br />conducted at, any scheduled site that would materially increase the risk <br />insured hereunder. <br />EPACE001-0415 Page 143 <br />
