<br />1. 1, Jihad Khalil, personally and on behalf of Kings Med Management, LLC, and
<br />any other related name and/or business name (hereinafter, "Claimant'), the undersigned, for
<br />and in consideration of the sum of Nine Thousand Three Hundred Ninety Eight Dollars
<br />9 39_8_0-Q) :for myself, my heirs, executors, administrators, successors and assigns do hereby
<br />remise, acquit and forever release and discharge the City of Santa Ana (hereinafter, "City"),
<br />and its principals, employees, officers, representatives, agents, directors, council members,
<br />claims administrators, attorneys and insurers [hereinafter referred to as "Releasees"], from
<br />any and all claims, complaints and causes of action by reason of any injury, damage or
<br />alleged statutory or common law violations, actions or complaints, including any and all
<br />attorhey's fees and costs, Claimant has sustained or may have sustained, as a result of the
<br />events surrounding applying for an adult-usecannabis license for the property located at 2904
<br />S. Oak Street, in the_, City of Santa Ana. It is agreed that Claimant and City will each
<br />respectively bear their own attorneys' fees and costs,. if any.
<br />2. It is expressly understood and agreed that this Release governs all claims and
<br />causes of action, including any alleged violations of any law, statute, ordinance, rule or
<br />regulation, whether based in statute or common law, all injuries and damages that arise out of
<br />the allegations in the letter filed by Claimant with the City on August 27, 2018 ("the Claim").
<br />3. It is further understood and agreed that this Release is the compromise of a
<br />doubtful and disputed Claim, and the payment herein provided for is not to be construed as
<br />any admission of liability whatsoever, which is expressly denied.
<br />4. It is further understood and agreed that all rights under Section 1542 of the
<br />California Civil Code and any similar law of any state or territory of the United States are
<br />hereby expressly waived. Section 1542 reads as follows:
<br />A general release does not extend to claims which the creditor does
<br />not know or suspect to exist in his or her favor at the time of
<br />executing of the release, which If known by him or her must have
<br />materially affected his or her settlement with the debtor.
<br />S. The undersigned represents no action, complaints or charges (other than the
<br />Claim referenced above) have been.filed against the Releasees with any local, state or federal
<br />agency or courts and that if any such agency or court assumes jurisdiction of any action,
<br />complaint or charge against the Releasees and/or their predecessors, successors, heirs, or
<br />shareholders, officers, directors, agents, police officers, attorneys, subsidiaries, or
<br />corporations or organizations, whether previously or hereafter affiliated in any manner, on
<br />behalf of myself, whenever filed, I will request such agency or court to withdraw and dismiss
<br />the matter forthwith.
<br />6. Clannant agrees to indemnify, defend and hold harmless the City and
<br />Releasees, their officers, officials, agents and employees, against, and will hold and save them
<br />and each of them harmless from, any and all third party actions, suits, claims, liens, damages
