EMERGENCY AMBULANCE MUTUAL AID AND AUTOMATIC_ AID TRANSPORTATION AGREEMENT This Agreement is made and entered into this 30th day.of May, 2015 by and between. Care Ambulance Service (hereinafter "CARE"), Herren Enterprises, Inc., d/lVa Doctor's Ambulance service,(hereinafter "DOCTOR'$°) with reference to the following recitals: WHEREAS, the parties' hereto wish to confirm the terms of mutual aid and. automatic aid agreements in conjunction with emergency services within exclusive: operating and service areas in the County of Orange; and WHEREAS,. each party hereto wishes to utilize the services of the other from time to time for backup emergency ambulance transportation within the specifications of the Orange County EMS Emergency Ambulance Transportation Services Agreement . effective June 1, 2015 and NOW THEREFORE, IT IS ACCORDINGLY AGREED AS FOLLOWS: I.: 'TERM_ A. This Agreerhent shall become effective upon execution by the parties hereto and shall continue in full force and effect for a period of twelve months, unless terminated or extended pursuant to the terms hereinafter set forth. This Agreement shall automatically renew for successive twelve month periods, unless terminated. by either party hereto as provided for herein. B. Notwithstanding any other:provision of this Agreement, either party may terminate this Agreement, without cause, by providing the other party hereto thirty (30) days prior written notice of their intent to terminate this Agreement. 2. MUTUAL AID SERVICE RESPONSIBILITIES A. Each party agrees to provide_ and respond with, subject to availability, mutual aid emergency ambulance transportation when requested by the other party. Backup services include, but are not limited to, locating an ambulance at a specified standby location if requested. B. Each party agrees to maintain all necessary licenses and permits required to operate an ambulance service in the State of California and the County of Orange and to be in compliance with all statutes, regulations, and ordinances as may now be in effect or as may hereafter be implemented or amended. C. Each party, upon receiving a request for emergency ambulance service from the other party, will provide the requesting party's dispatcher its estimated time of arrival to the requested transport location. The backup provider shall immediately notify the other if for any reason it determines that a delay may occur which would prevent the requested party's ambulance from arriving at the location within the quoted estimated time of arrival.
