N INSURANCE NOT ON FILE WORK MAY N2 PROCEED CLERK OF COUNCIL DATE: MAR 0 4 2019 p,,?9C5A0) AGREEMENT TO PROVIDE SPEAKER AT CITY LIBRARY EVENT N-2019-041 GAVL" THIS AGREEMENT is made and entered into on this 18TH day of February, 2019 by and between Square Tree Publishing, LLC, a California company ("Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The City desires to retain a Contractor having special skill and knowledge in the field of providing authors, artists, and entertainers ("Speakers") to provide author readings, presentations and speaking engagements based on their artistic works or professional experiences to present to the public at the City's public library. B. In particular, the City Library is hosting an event on March 2, 2019, and would like authors to present at the event. C. Authors are being compensated by a third -party. D. This contract governs authors' activities at City event. C. Contractor represents that Contractor is able and willing to provide such services to the City D. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Contractor shall provide authors Shari Ho and Melody Fox f'or a special event at the Santa Ana Public Library on March 2, 2019, from 1 — 2:30 p.m. ("the event"), or such date and time as may be mutually agreed upon between the City and Contractor. Ms. Ho and Ms. Fox will read from their books "My Name is Also Freedom and Freedom Was Joist the Beginning," conduct a question and answer session with audience members and sign copies of their books. 2. COMPENSATION a. Contractor will provide authors Shari Ho and Melody Fox for the event at the Santa Ana Library without monetary compensation but in exchange for the City's promotion and advertisement of authors' appearance at the event. The avenue and type of said promotion and advertisement shall be determined at City's sole discretion. The parties agree that said non -monetary compensation constitutes the sole consideration between the parties for this Agreement. The parties agree further that there is a mutual benefit to the authors appearing at the event.
