Irene Chandler Turner, as Lessor, and New Hampshire <br />Mortgage Co., Inc., as Lessee, entered into a Ground Lease on or <br />about July 1, 1969 ("Ground Lease,'). By the terms of the Ground <br />Lease, the Lessor leased to Lessee certain real property located in <br />the City of Santa Ana, County of Orange, State of California, more <br />particularly described an Exhibit "A" attached hereto and made a <br />part hereof. <br />B. A "Memorandum of Lease" was recorded August 12, 1983, as <br />Instrument Number 83-351667, in the official Records of the Orange <br />County Recorder, wherein Mary Turner Vaughn (as Trustee of the <br />"Mary Turner Vaughn Trust") and Jane Turner Wissler (as Trustee of <br />the "Jane Turner Wissler Trust"), collectively, are named as the <br />Lessor, and the Sepe Family Partnership is named as the Lessee. <br />C. he 'Sepe Famil"y Partnership. ,,as La,§sdv, now .desires to <br />assign all of 'its rigF"t, ciEl'e and -tilt ekes t- i the Ground Lease to <br />Assignee, and Assignee desires to accept the assignment. <br />NOW, THEREFORE, Assignor and Assignee agree as follows: <br />ASSIGNMENT <br />For value received, receipt of which is acknowledged, and the <br />agreement of Assignee, set forth below, Assignor assigns and <br />transfers to Assignee all of Assignor's right, title, and interest <br />in and to the Ground Lease, and Assignee agrees to and does accept <br />the assignment. Assignee expressly assumes and agrees to keep, <br />perform, and fulfill all the terms, covenants, conditions, and <br />obligations required to be kept, performed, and fulfilled by <br />Assignor as Lessee under the Ground Lease, including the making of <br />[SANDALND.ASH] ` <br />249 <br />65A-252 <br />
