RiTCCFQC(IR AV-RNCV AND VAI.RUMCP PRnPFRTV A"V1QnD4 <br />THIS AGREEMENT, made and entered into this 1st day of October, 2019 by and <br />between Valbridge Property Advisors (hereinafter "Consultant'), and the Successor Agency to <br />the former Community Redevelopment Agency of the City of Santa Ana, a public body <br />(hereinafter "Successor Agency"). <br />RECITALS <br />A. The Successor Agency desires to retain a consultant having special skill and knowledge in <br />the field of real property appraisals. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />Successor Agency, as described in the scope of work attached herein as Exhibit A. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide real estate appraisal consulting services, on an as -needed basis, <br />at the written direction of the Executive Director of the Community Development Agency, or <br />his/her designee, in compliance with the Scope of Work, attached herein as Exhibit A to this <br />Agreement. <br />2. COMPENSATION <br />a. Successor Agency neither warrants nor guarantees any minimum or maximum <br />compensation to Consultant under this Agreement. Consultant shall be paid only <br />for actual services performed under this Agreement as provided in each estimate. <br />The total sum to be expended under this Agreement shall not exceed Ten Thousand <br />Dollars ($10,000.00) during the term of this Agreement, including any extension <br />period. <br />b. Payment by Successor Agency shall be made within forty-five (45) days following <br />receipt of proper invoice evidencing work performed, subject to Successor Agency <br />accounting procedures. Payment need not be made for work which fails to meet the <br />standards of performance set forth in the Recitals which may reasonably be <br />expected by Successor Agency. <br />3.
