INSURANCE ON FILE <br />l'dORK MAY PROCEED <br />LINSURANCE EXPIRES <br />I� l 0- <br />CLERK OF COUNCIL <br />JUN 19 2020 <br />CONSULTANT AGREEMENT <br />CITY OF SANTA ANA <br />A-2020-115 <br />wcivv 9;k'64 1,Dmelr dJ <br />THIS AGREEMENT is made and entered into on this 2nd day of June, 2020 by and between <br />Shamrock Supply Company, Inc., ("Consultant"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />RECITALS <br />A. The City desires to retain a Consultant having the special knowledge and ability to supply <br />maintenance, repair and operations equipment and materials. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services delineated in Consultant's proposal and set forth in Exhibit <br />A, attached hereto and incorporated by reference, and as described in the scope of services that <br />was included in RFP No. 20-019, which is attached as Exhibit B and incorporated in full. <br />Consultant shall provide City with an extranet portal to place orders electronically. <br />Consultant shall provide City, at no additional cost to City, an Opti-Crib solution as presented in <br />Exhibit A. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit A. The total amount to be expended <br />during the term of this Agreement shall not exceed $5,250,000 (including extension <br />periods). This sum shall be comprised of a not -to exceed annual amount of $750,000 <br />during the initial five (5) year term of this agreement and for any extension periods <br />exercised by the City per Section 3, below. <br />Page 1 of 10 <br />
