.,4URANCE ON FILE <br />UNOTK MAY PROCEED <br />IL INSURANCE EXPIRES <br />I - apa-j <br />CLERK OF COUNCIL <br />DATE: <br />N-2020-135 <br />AGREEMENT WITH VCA YORBA REGIONAL ANIMAL HOSPITAL <br />TO PROVIDE VETERINARY SERVICES <br />THIS AGREEMENT is made and entered into on this 1st day of April, 2020 by and between VCA <br />Animal Hospitals, Inc. a California Corporation, dba as VCA Yorba Regional Animal Hospital <br />("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California ("City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />providing medical services including emergency medical care to police K-9s. Consultant <br />represents that it is able and willing to provide such services to the City. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Within thirty (30) days of receiving the fully executed agreement, Consultant shall <br />provide to the City information detailing the Consultant's services and rates/fees for <br />said services. This information shall be incorporated by reference to this <br />Agreement. The parties agree and understand that this information may be provided <br />by electronic transmission such as a website, shared link, or e-mail <br />attachment. Consultant shall notify the City of any change in its ratesifees within thirty <br />(30) days of the rates/fees becoming effective. The Chief of Police, or his designee, <br />shall provide written approval of the rates/fees. If the City does not approve, it may <br />terminate this Agreement as provided in Section 15, below. <br />b. Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools,'equipment, and incidental customary work required <br />to fully and adequately complete the services, as provided above by the Consultant. <br />2. COMPENSATION <br />a. The total amount to be expended during the term of this Agreement shall not exceed <br />$24,000. <br />Page I of <br />#31925v2 <br />
