3.1.4. The Master Agreement pricing IS Ceiling Pricing. Contractor may offer lower pricing on a per <br />Order basis to Purchasing Entity's; likewise, Purchasing Entity's may request lower pricing on a <br />per Order basis from Contractor. <br />3.1.5. Contractor may offer state-wide promotional discounts, customer location specific discounts, bulk <br />discounts, or spot discounts. Contractor must notify the Participating State or Entity Contract <br />Administrator of special state-wide promotional discounts. <br />3.1.6. Any revisions to Product offerings (new Products, altered item or model numbers, etc.) must be <br />pre -approved by the Lead State, and will be allowed once per month. <br />3.1.7. Product updates are required by the 1st of the month and shall go into effect upon approval by the <br />Lead State. <br />3.1.8. Any Product additions must be updated with Buyer's Lab within ninety (90) days of submission to <br />the Lead State. Failure to adhere to this requirement will result in the Product(s) being removed <br />from the Master Agreement Price List(s) until such time as they can be verified on Buyer's Lab. <br />3.1.9. Updates to lease and rental rates must be submitted by the 1st day of each quarter. <br />3.1.10. Price Lists received after the Ist of the month may not be approved for up to thirty (30) days <br />following submission. In addition, errors in the Contractor's Price Lists may delay the approval <br />process further. <br />3.1.11. All approved Price Lists will be submitted by the Lead State to NASPO ValuePoint. Contractor <br />shall then update all applicable websites with the new Price Lists after the NASPO ValuePoint <br />website has been updated. <br />3.1.12. All-inclusive Cost Per Copy (CPC) programs may be offered upon request by the Participating <br />State or Entity, but pricing must not exceed Master Agreement pricing. Contractor must provide <br />the Participating State or Entity with their pricing breakdown which enables the Participating State <br />or Entity to easily compare the pricing in the CPC structure against the pricing in this Master <br />Agreement. <br />3.1.13. Pricing must include all standard shipping, delivery, and installation costs associated with the <br />Products. Excess installation charges or expedited shipping however, may be billable. Refer to <br />§4.9.5 for more information. <br />3.2. Participants and Scope <br />3.2.1. Contractor may not deliver Products or perform Services under this Master Agreement until a <br />Participating Addendum acceptable to the Participating State or Entity and Contractor is executed. <br />The NASPO ValuePoint Master Agreement Terms and Conditions are applicable to any Order by a <br />Participating State or Entity (and other Purchasing Entities covered by their Participating <br />Addendum), except to the extent altered, modified, supplemented or amended by a Participating <br />Addendum. By way of illustration and not limitation, this authority may apply to unique delivery <br />and invoicing requirements, confidentiality requirements, defaults on Orders, governing law and <br />venue relating to Orders by a Participating State or Entity, indemnification, and insurance <br />requirements. Statutory or constitutional requirements relating to availability of funds may require <br />specific language in some Participating Addenda in order to comply with applicable law. The <br />expectation is that these alterations, modifications, supplements, or amendments will be addressed <br />in the Participating Addendum or, with the consent of the Purchasing Entity and Contractor, may <br />be included in the ordering document (e.g. Order) used by the Purchasing Entity to place the Order. <br />Page 11 <br />Copiers and Managed Print SeMces.
