M. Counterparts: This Agreement may be executed in one or more counterparts, <br />each of which shall be an original and all of which together shall be one and <br />the same instrument. A facsimile, PDF copy or other electronic signature <br />(e.g., DocuSign) of this Agreement, when signed in compliance with this <br />Section, is an enforceable, original agreement for all purposes. <br />N. Non -Discrimination: The GRANTEE will not discriminate against any <br />individual with regard to employment or participation or in any other manner <br />for reasons of race, color, religion, gender or gender identification, sexual <br />identity, pregnancy, childbirth or related medical conditions, national origin, age, <br />marital status, disability or any other characteristicthat is protected by local, state <br />or federal law. <br />O. Prohibition of Nepotism: GRANTEE agrees not to hire or permit the hiring of <br />any person to fill a position funded through this Agreement if a member of that <br />person's immediate family is employed in an administrative capacity by <br />GRANTEE. For the purposes of this section, the term "immediate family" <br />means spouse, child, mother, father, brother, sister, brother-in-law, sister-in- <br />law, father-in-law, mother-in-law, son-in-law, daughter-in-law, aunt, uncle, <br />niece, nephew, stepparent and stepchild. The term "administrative capacity" <br />means having selection, hiring, supervisor or management responsibilities. <br />P. Miscellaneous Provisions: <br />(i) Each undersigned represents and warrants that its signature herein below <br />has the power, authority and right to bind their respective parties to each <br />of the terms of this Agreement, and shall indemnify CITY fully, including <br />reasonable costs and attorney's fees, for any injuries or damages to CITY <br />in the event that such authority or power is not, in fact, held by the <br />signatory or is withdrawn. <br />(ii) All Exhibits and Attachments referenced herein and attached hereto shall <br />be incorporated as if fully set forth in the body of this Agreement. <br />(Signatures on, following page) <br />
