BUSINESSLIABILITYCOVERAGEFORM <br />b. <br />Ifwedefendaninsuredagainsta"suit"Solongastheaboveconditionsaremet, <br />andanindemniteeoftheinsuredisalsoattorneys'feesincurredbyusinthe <br />namedasapartytothe"suit",wewilldefenseofthatindemnitee,necessary <br />defendthatindemniteeifallofthelitigationexpensesincurredbyusand <br />followingconditionsaremet:necessarylitigationexpensesincurred <br />bytheindemniteeatourrequestwillbe <br />(1) <br />The"suit"againsttheindemnitee <br />paidasSupplementaryPayments. <br />seeksdamagesforwhichtheinsured <br />hasassumedtheliabilityoftheNotwithstandingtheprovisionsof <br />1.b.(b)B. <br />indemniteeinacontractoragreementParagraphofSection– <br />thatisan"insuredcontract";Exclusions,suchpaymentswillnotbe <br />deemedtobedamagesfor"bodily <br />(2) <br />Thisinsuranceappliestosuchliability <br />injury"and"propertydamage"andwill <br />assumedbytheinsured; <br />notreducetheLimitsofInsurance. <br />(3) <br />Theobligationtodefend,orthecostof <br />Ourobligationtodefendaninsured's <br />thedefenseof,thatindemnitee,has <br />indemniteeandtopayforattorneys'fees <br />alsobeenassumedbytheinsuredin <br />andnecessarylitigationexpensesas <br />thesame"insuredcontract"; <br />SupplementaryPaymentsendswhen: <br />(4) <br />Theallegationsinthe"suit"andthe <br />(1) <br />Wehaveuseduptheapplicablelimit <br />informationweknowaboutthe <br />ofinsuranceinthepaymentof <br />"occurrence"aresuchthatnoconflict <br />judgmentsorsettlements;or <br />appearstoexistbetweentheinterests <br />(2) <br />oftheinsuredandtheinterestoftheTheconditionssetforthabove,orthe <br />indemnitee;termsoftheagreementdescribedin <br />(6) <br />Paragraphabove,arenolongermet. <br />(5) <br />Theindemniteeandtheinsuredask <br />ustoconductandcontrolthedefense <br />B.EXCLUSIONS <br />ofthatindemniteeagainstsuch"suit" <br />1.ApplicableToBusinessLiabilityCoverage <br />andagreethatwecanassignthe <br />Thisinsurancedoesnotapplyto: <br />samecounseltodefendtheinsured <br />andtheindemnitee;and <br />a.ExpectedOrIntendedInjury <br />(6) <br />Theindemnitee: <br />(1) <br />"Bodilyinjury"or"propertydamage" <br />expectedorintendedfromthe <br />(a) <br />Agreesinwritingto: <br />standpointoftheinsured.This <br />(i) <br />Cooperatewithusinthe <br />exclusiondoesnotapplyto"bodily <br />investigation,settlementor <br />injury"or"propertydamage"resulting <br />defenseofthe"suit"; <br />fromtheuseofreasonableforceto <br />(ii) <br />Immediatelysenduscopiesof <br />protectpersonsorproperty;or <br />anydemands,notices, <br />(2) <br />"Personalandadvertisinginjury"arising <br />summonsesorlegalpapers <br />outofanoffensecommittedby,atthe <br />receivedinconnectionwith <br />directionoforwiththeconsentor <br />the"suit"; <br />acquiescenceoftheinsuredwiththe <br />(iii) <br />Notifyanyotherinsurerwhose <br />expectationofinflicting"personaland <br />coverageisavailabletothe <br />advertisinginjury". <br />indemnitee;and <br />b.ContractualLiability <br />(iv) <br />Cooperatewithuswith <br />(1) <br />"Bodilyinjury"or"propertydamage";or <br />respecttocoordinatingother <br />(2) <br />"Personalandadvertisinginjury" <br />applicableinsuranceavailable <br />totheindemnitee;and <br />forwhichtheinsuredisobligatedtopay <br />damagesbyreasonoftheassumptionof <br />(b) <br />Providesuswithwritten <br />liabilityinacontractoragreement. <br />authorizationto: <br />Thisexclusiondoesnotapplytoliability <br />(i) <br />Obtainrecordsandother <br />fordamagesbecauseof: <br />informationrelatedtothe <br />"suit";and <br />(a) <br />"Bodilyinjury","propertydamage"or <br />"personalandadvertisinginjury"that <br />(ii) <br />Conductandcontrolthe <br />theinsuredwouldhaveinthe <br />defenseoftheindemniteein <br />absenceofthecontractor <br />such"suit". <br />agreement;or <br />FormSS00080405Page3of24 <br /> <br />
