(a) Nothing in this Agreement, express or implied, is intended or shall be construed to confer upon or give to any person other than Assignee, its successors and assigns, any remedy or claim under or by reason of this instrument or any term, covenant or condition hereof, and all of the terms, covenants, conditions, promises, and agreements in this instrument shall be for the sole and exclusive benefit of Assignee and its successors and assigns. (b) This Agreement may not be modified, amended, waived, discharged or terminated other than by written agreement signed by the Parties. (c) This Agreement shall be binding upon the Assignor and inure to the benefit of Assignee and its successors and assigns. (d) This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware without giving effect to any choice or conflict of law provision or rule (whether of the state of Delaware or any other jurisdiction) that would cause the application of laws of any jurisdiction other than those of the state of Delaware.
