No delay or omission by either party hereto to exercise any right or power accruing upon any <br />noncompliance or default by the other party with respect to any of the terms of this Memorandum. of <br />Understanding shall impair any such tight or power or be construed to be a waiver thereof. A waiver by <br />either of the parties hereto of any of the covenants, conditions, or Memorandum of Understanding s to be <br />performed by the other shall not be construed to be a waiver of any succeeding breach thereof or of any <br />other covenant, condition or Memorandum of Understanding herein contained. <br />XIX. DUPLICATION OF BENEFITS CERTFICATION FOR CDBG-CV FUNDS <br />a. As part of the CARES Act and described in the Community Development Block Grant <br />CARES Act (CDBG-CV) Federal Register Notice (FR-6218-N-01), HUD must ensure that there are <br />adequate procedures in place to prevent any duplication of benefits as required by Section 312 of the <br />Robert T, Stafford Disaster Relief and Emergency Assistance Act (Stafford Act), as amended by section <br />1210 of the Disaster Recovery Reform Act (DRRA) of 2018 as described in Exhibit F. <br />XX. MISCELLANEOUS PROVISIONS <br />a. Each undersigned represents and warrants that its signature herein below has the power, authority <br />and right to bind their respective parties to each of the terms of this Memorandum of Understanding , and <br />shall indemnify CITY fully, including reasonable costs and attomey's fees, for any injuries or damages to <br />CITY in the event that such authority or power is not, in fact, held by the signatory or is withdrawn, <br />b. All Exhibits and Attachments referenced here n and attached hereto shall be incorporated as if <br />fully set forth in the body of this Memorandum of Understanding , <br />(Signatures on followingpage) <br />17 <br />
