,SURANCE ON FILE WORK MAY PROCEED UNTIL INSURANCE EXPIRES APR 1 2 2021 B. t-Ulk A-2021-050 CLERK OF COUNCIL DATE: FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT TO PROVIDE FEDERAL GOVERNMENT LIAISON SERVICES D_CM CDanielsp�� Lp� 1Z WITH HOLLAND & KNIGHT LLP THIS FIRST AMENDMENT to the above -referenced agreement is entered into on April 6, 2021, by and between Holland & Knight, LLP, a limited liability partnership ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS A. The parties entered into Agreement No. A-2018-080, dated April 1, 2018, by which Consultant agreed to provide services for the securing of federal funding and achieving determined legislative and regulatory outcomes on behalf of the City ("Agreement"). B. The Parties exercised their option to extend the Agreement which is current and in effect until March 31, 2022. C. The parties now wish to further extend the Agreement and increase the overall amount of compensation under the Agreement in consideration of the extended term. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions of said Agreement, except as herein modified, the parties agree as follows: 1. Section 2.a., Compensation, is amended to increase the overall compensation at an amount not to exceed $9,800 per month during the extended term, as provided in this First Amendment, at an amount of $235,200 through the extended term defined herein. The total amount to be expended during the term of the Agreement shall not exceed $588,000. 2. Section 3, Term, is amended to extend the term of the Agreement for an additional one (1) year period through March 31, 2023. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall remain in full force and effect. Page 1 of 2
