Recorder <br />THIS COVENANT AND AGREEMENT is made by and between JOHNSON <br />CHAPEL, THE AFRICAN METHODIST EPISCOPAL CHURCH, a California corpora- <br />tion ("CHURCH") and the CITY OF SANTA ANA, a municipal corporation <br />of the State of California ("CITY"). <br />1. CHURCH certifies that it is the owner of the real property <br />("subject property") described in Exhibit "A" attached hereto and <br />incorporated by reference herein, situated in the City of Santa Ana, <br />County of Orange, State of California. This Covenant and Agreement <br />is made pursuant to that Exchange and Purchase Agreement recorded <br />at Book 12349 , pages Ibl$ , in the office of the Orange County <br />Recorder. <br />2. CHURCH hereby covenants and agrees for good and valuable <br />consideration that if the subject property is at any time subdivided, <br />Lots 14 and 15 thereof and the easterly 34 feet of Lot 13 thereof <br />shall be held as one parcel; and Lots 16, 17, and the westerly 26 feet <br />of Lot 18 thereof shall be held as one parcel, and that no smaller <br />portions thereof shall be sold, conveyed, leased for a term exceeding <br />ten (10) years, or otherwise transferred without the prior written <br />consent of CITY. <br />3. CHURCH further covenants and agrees that the subject property <br />shall be developed, occupied, and used in accordance with and subject <br />to the regulations and restrictions set forth in the Santa Ana Municipal <br />Code for the C-5 (Arterial Commercial) Zone as such regulations and <br />restrictions now exist or as they may be amended hereafter. If the land <br />use district in which the property is situated is hereafter changed by <br />CITY, the property shall then be developed, occupied and used in accor- <br />dance with and subject to such zoning restrictions as may hereafter <br />become applicable to said property by amendments to said code or to <br />applicable land use district maps. <br />4.
