Bd 12928GN 603 <br />9N t 2149p; i o2,2 <br />XVI <br />All questions with respect to the construction of <br />this Agreement and the rights and liabilities of the parties <br />hereto shall be governed by the laws of the State of Calif- <br />ornia. <br />YVII <br />Subject to the restrictions against assignment as <br />herein contained, this Agreement shall inure to the benefit <br />of and shall be binding upon the assigns, successors in <br />interest, personal representatives, estates, heirs, and <br />legatees of each of the parties hereto. <br />MAMA &IM <br />In the event of any controversy, claim, or dispute <br />between the parties hereto arising out of or relating to <br />this Agreement or the breach thereof, the prevailing party <br />shall be entitled to recover from the other party reasonable <br />expenses, attorney fees and costs. <br />XIX <br />This Agreement contains the entire agreement of <br />the parties hereto and supersedes any prior written or oral <br />agreements between them concerning the subject matter con- <br />tained herein. There are no representations, agreements, <br />arrangements, or understandings, oral or written, between <br />the parties hereto relating to the subject matter contained <br />in this Agreement which are not fully expressed herein. <br />Y.X <br />The parties agree to execute such other and further <br />instruments as may be reasonably necessary or convenient <br />to carry out the terms of this Agreement, including,but <br />not limited to, deeds, notes, trust deeds, and a covenant <br />to hold as one parcel. <br />XXI <br />This Agreement shall be recorded. <br />IN WITNESS WHEREOF, the parties hereto have executed <br />this Agreement on the date and year first above written. <br />ATTEST: <br />f' P ENCE 1.
