VENUEJURISDICTION <br />This Agreement has been executed and delivered in the Salle of California and the <br />validity, interpretation, perilormance, and enlirrcement of any of the clauses of this Agrecmchil <br />shall be determined and governed by the laws of the State of California. Both parties htrther <br />agree that Orange County, California, shall be the venue for any action or proceeding that may <br />be hrought or arise out of, in connection N ith or by reason of this Agreement. <br />13. VALIDiTV <br />The invalidity in whole or in part of any provision of this Agrcenhent shall not void or affect <br />the validity of any olNn provision of this Agreement. <br />14.
