(c) It is understood and agreed by and between the parties hereto that the compensation paid to Seller <br />through this Agreement does not include the value of the cost to relocate the SCE vault located within the <br />Right of Way Fee Acquisition Area. Seller takes full and sole responsibility for the relocation of the SCE <br />vault, which shall be completed in a timely manner. Seller shall work in good faith with City and SCE for <br />the relocation of the SCE vault so that it does not interfere with or delay the City's Project. City will fully <br />reimburse Seller for the actual cost of the SCE vault relocation through a relocation reimbursement <br />agreement. <br />30. Incorporation of Exhibits.
