at least four (4) community health centers and conduct baseline measurement of <br />Healthy People 2030 health objectives. <br />5. Health Literacy Intervention — Co -develop and implement a feasible, culturally <br />competent intervention at two community health centers. <br />6. Health Literacy Outcome— By the end of the project period, achieve Healthy People <br />target values for health literacy objectives or reduce the gap between the baseline <br />value and the target value by at least 20%. <br />D. On June 18, 2021, the CITY was notified by HHS that the CITY would receive a $4,000,000 <br />award to implement the HEAL-OC initiative. A true and correct copy of the HHS Notice of <br />Award Number 1 CPIMP211286-01-00 is attached hereto as Exhibit A and incorporated <br />herein by this reference. <br />E. CITY, as a recipient of the HEAL-OC grant funds, Award Number I CP MP211286-01-00, <br />and Federal Award Identification Number (FAIN) CPIMP211286, desires to enter into this <br />MOU with the SUBRECIPIENTS for all parties to aelmowledge the objectives of the HEAL- <br />OC initiative and to commit to working cooperatively together to achieve the desired <br />outcomes. <br />F. CITY is also entering into separate Agreements with each SUBRECIPIENT detailing the <br />regulations and requirements for the expenditure ofHEAL-OC grant funds in accordance with <br />the HHS Notice of Award. <br />G. On July 20, 2021, the Santa Ana City Council approved the acceptance of the HEAL-OC <br />grant funds, and authorized the City Manager to execute all necessary agreements with the <br />HEAL-OC SUBRECIPIENTS to administer the initiative. <br />H. SUBRECIPIENTS were selected by the CITY to receive HEAL-OC grant funds in order to <br />provide services in accordance with the Scope of Work attached hereto as Exhibit B and <br />incorporated herein by reference ("said Program"). SUBRECIPIENTS represent that they are <br />qualified and willing to operate said Program and certify that the activities carried out under <br />this MOU will meet one or more of the HEAL-OC objectives. <br />I. SUBRECIPIENTS agree that they will work cooperatively to adhere to the HEAL OC <br />requirements as indicated in Exhibit A for said Program. <br />WHEREFORE, it is agreed by and between the parties that the foregoing Recitals are a <br />substantive part of this MOU and the following terms and conditions are approved and together with <br />all exhibits and attachments hereto, shall constitute the entire MOU between the CITY and <br />SUBRECIPIENTS: <br />L HEAL-OC PROVISIONS <br />A. Scope of Worlc. SUBRECIPIENTS shall be responsible for the specific tasks and <br />services of said Program, and agree to work cooperatively to administer said Program in compliance <br />with the project expectations as described in the Notice of Award attached hereto as Exhibit A and <br />the Scope of Work attached hereto as Exhibit B. <br />
