As described in Exhibit A, concerning the investigation and disposition of <br />violations, the City may terminate this agreement immediately for cause if it has <br />been determined by the Traffic Commander, with concurrence from the Field <br />Operations Bureau Commander, that the Contractor has committed rule violations <br />associated with this agreement, or has committed violations of the law, and <br />termination of the contract is deemed to be the appropriate disposition. <br />d. This agreement may be terminated without cause by City by written notice <br />delivered to the Contractor either personally or by mail, thirty (30) days prior to the <br />end of the then current term. Upon termination, City shall pay Contractor for <br />services rendered as specified in the Agreement prior to the effective date of <br />termination. <br />14. CONTRACTOR OPTION FOR TERMINATION <br />The Contractor may request termination of the contract when conditions during the contract <br />make it impossible to perform or when prevented from proceeding with the contract by act of God, <br />by law or official action of a public authority or in the event of nonpayment by the City. Such <br />request will require ninety (90) days written notice prior to contract termination date requested. In <br />the event of nonpayment of undisputed sums by the City, Contractor shall give the City thirty (30) <br />working days to cure the alleged breach. <br />15. EMPLOYMENT OPPORTUNITIES FOR SANTA ANA RESIDENTS <br />Contractor shall make every effort to solicit and advertise employment opportunities to <br />Santa Ana residents, The City shall inform the Contractor of areas to publicize recruitment <br />opportunities, such as work centers and community centers. Contractor shall provide to City, a <br />description of efforts and procedures used to notify residents of employment opportunities as they <br />occur but, at a minimum, once each year prior to the City exercising its option to extend the <br />contract. <br />16. CONTRACTOR' S PARTICIPATION AT COMMUNITY MEETINGS EVENTS <br />AND PUBLIC AWARENESS CAMPAIGNS <br />If requested by City, the Contractor shall agree to participate in community meetings, <br />community events and public awareness campaigns, such as National Night Out, DUI <br />presentations or any other neighborhood or City event. Such participation shall be upon City <br />request provided with reasonable notice of the event. Such events will not exceed four (4) requests <br />per year. 1. <br />17. COMPLIANCE WITH APPLICABLE LAWS AND REGULATIONS <br />a. Contractor shall perform all requirements under this contract in strict observance of <br />and in compliance with all applicable environmental, traffic, safety and any other laws, <br />regulations, ordinances, codes and any other legislative or statutory requirements. <br />Page 7 of 10 <br />#141898v2 <br />
