City may designate an Alternative Facility for Contractor's use for a short or extended <br />period of time. Such a change shall be considered a City -directed change in scope and <br />handled in accordance with provisions in Section 2.9. <br />4.9.2 Approved Facilities <br />Contractor shall Transport all Solid Waste, with the exception of Refuse which is <br />Transported to the Designated Disposal Facility, to the Approved Facility(ies) specified <br />in Exhibit 8 and shall Transfer and Process Solid Waste, with the exception of Refuse <br />Collected, in accordance with this Section and Exhibit 8. If the Approved Facilities <br />change during the Term of this Agreement, and the Contractor does not own or operate <br />one or more of the Approved Facilities, Contractor shall enter into a subcontract <br />agreement with the owner or Facility operator of such Approved Facility(ies) and the <br />requirements of this Section and Exhibit 8 shall pertain to the Subcontractor. In <br />addition, Subcontractor requirements or obligations related to indemnification (Article <br />9) and insurance requirements (Section 9.4) shall apply, as well as any other <br />Subcontractor requirements or obligations stated in other sections of this Agreement. <br />The Approved Facilities shall comply with the following requirements. <br />A. Approved Transfer Facility. Contractor's Approved Transfer Facility shall be a <br />Transfer Facility or operation that Transfers Residential, Multi -Family, and <br />Commercial Premises Source Separated Recyclable Materials, Source Separated <br />Organic Materials, Mixed Waste, and/or Refuse Collected in accordance with <br />this Agreement. <br />B. Approved Source Separated Recyclable Materials Processing Facility. <br />Contractor's Approved Recyclables Processing Facility shall be a Facility or <br />operation that Processes Residential, Multi -Family, and Commercial Premises <br />Source Separated Recyclable Materials to recover materials designated for <br />Collection in the Source Separated Recyclable Materials Containers. <br />C. Approved Organic Waste Processing Facility. Contractor's Approved Organic <br />Waste Processing Facility shall be a Facility that Processes Residential, Multi - <br />Family, and Commercial Premises Source Separated Organic Materials to recover <br />Source Separated Organic Materials. <br />D. Approved C&D Processing Facility. Contractor's Approved C&D Processing <br />Facility shall be a Facility that Processes and recovers Construction and <br />Demolition Debris in accordance with this Agreement and Applicable Law. <br />August 17, 2021 85 City of Santa Ana <br />
