ClientandBalancing Actare <br />collectivelyreferredtoas"theParties"andindividuallyreferredtoas"Party." <br />WHEREAS,Balancing Actisinthebusinessof developing websoftwareandsitescapableof <br />hosting publicpolicysimulationsand related projectspromoting anexchangeofinformation <br />andideasfor useby governmentalandotherentities; <br />WHEREAS,ClientdesirestosubscribetoaccessBalancing Acproprietary web <br />applicationsto beused for publiceducationandengagement,and <br />NOW, THEREFORE,inconsideration oftheforegoing recitalsandmutual <br />covenantscontained herein,thepartiesagreeasfollows: <br />1.SCOPEOFENGAGEMENT. <br />A.SubscriptionAgreement.Balancing ActshallprovideClientwithaccesstothe <br />productsand featuresof theBalancing ActwebapplicationspecifiedinExhibit <br />Atothisagreementandagreesto provideallofthetechnical,administrativeand <br />professionalsupportservicesnecessary to performthisAgreement.Clientis <br />granted anon-exclusive, non-transferable,andrevocablelicensetoaccessand <br />usetheBalancing Actwebsite.Clientshallhavetherighttotestandapprovethe <br />application priortoitgoing live. <br />B.SupportServices.Balancing Actshallperformandprovidecertainsupport <br />servicesto Clientinaccordancewiththetermsandconditionsof thisAgreement <br />andtheSOW(theServicesdescribed underSupportServices,theSupport <br />Services). If Clienthereafter requestsadditionalservicesnotdescribed on <br />ExhibitA(AdditionalServices),andBalancing Act <br />iswilling andableto provide thoseAdditionalServices,thepartiesshall <br />mutuallyagreeuponandexecuteone or moreadditionalSOWsthatcontainthe <br />termsandconditionsoftheAdditionalServicesto beperformed.
