WHEREAS, the GOVERNANCE COMMITTEE and NEW PARTNER AGENCY now desire to enter <br />into a separate agreement (this NPA Rider) to establish additional terms and conditions by including NEW <br />PARTNER AGENCY in the indemnity provision of the JOINT AGREEMENT per Section 1.4; <br />NOW THEREFORE, in consideration of the Recitals above, the receipt of which the Partners acknowledge <br />herein, and which are incorporated herein by this reference, and the mutual covenants and agreements <br />hereinafter contained, the GOVERNANCE COMMITTEE and NEW PARTNER AGENCY do hereby agree <br />as follows: <br />A.
