M-006-22 BETWEEN THE SOUTHERN CALIFORNIA ASSOCIATION OF GOVERNMENTS AND THE CITY OF SANTA ANA FOR THE SOUTHERN CALIFORNIA ASSOCIATION OF GOVERNMENTS GO HUMAN CAMPAIGN This Amendment No. 01 ("Amendment') to the Memorandum of Understanding No. M-006-22 ("MOLD' or "Agreement") is by and between the Southern California Association of Governments ("SCAG") and the City of Santa Ana ("CITY"), for the Southern California Association of Governments Go Human Campaign, subsequently herein referred to as "Project" SCAG and the CITY are individually referred to herein as "Party" and may be collectively referred to herein as "Parties." RECITALS WHEREAS, SCAG and the CITY are parties to that certain Agreement dated February 16, 2022; WHEREAS, Section 9c of the Agreement permits the Parties to amend the Agreement through written amendment; and WHEREAS, the purpose of this Amendment No. 01 is to extend the tern of this MOU from April 29, 2022 to July 29, 2022 and to replace Exhibit A with "Exhibit A-1 Scope of Work." NOW THEREFORE, IT IS MUTUALLY AGREED THAT: 1. Section 1 (Term) is amended to read: The term of this MOU shall commence on the Effective Date, and shall continue through the completion of all work contemplated under this MOU, or, July 29, 2022, whichever comes first, unless otherwise terminated as set forth in Sections 4 and 5 herein. The term of this MOU may be extended by mutual written agreement of the Parties. 2. The following Exhibit is attached hereto, and incorporated herein by the reference, and shall replace Exhibit Ain its entirety: "Exhibit A-1 Scope of Work" In all other respects, the terms and conditions of the Agreement shall remain in full force and effect.
