N-2022-118 <br />INSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />k.�•23 <br />CLERK OF COUNCIL <br />DATE: OF SANTA ANA AGREEMENT WITH SILVER & WRIGHT LLP <br />MAY ®3 2U22 CITY TO PROVIDE ADMINISTRATIVE HEARING SERVICES <br />0 : CDA (Ni A 0 (AV) 0 <br />THIS AGREEMENT is made and entered into on this Ist day of May. 2022, by and between Silver & <br />Wright LLP, a California limited liability partnership ("S&W"), and the City of Santa Ana, a charter city <br />and municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("City"). <br />RECITALS <br />A. On January 25, 2022, the City issued Request for Qualifications # 22-016 seeking hearing officer <br />services for the City's Rent Stabilization Ordinance No. NS-3009. The City desires to retain an <br />administrative hearing officer having special skill and knowledge to serve as a neutral <br />administrative hearing officer for the City's Rent Stabilization Ordinance and provide on -call <br />professional administrative hearing services for the City. <br />B. S&W represents that S&W is able and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, S&W represents that it is knowledgeable in its <br />field and that any services performed by S&W under this Agreement will be performed in <br />compliance with such standards as may reasonably be expected from a professional firm in the <br />field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms <br />and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />S&W shall provide on -call neutral administrative hearing services for the City's Rent Stabilization <br />Ordinance, as requested by the Community Development Agency. S&W shall perform during the term <br />of this Agreement, the tasks and obligations including all labor, materials, tools, equipment, and incidental <br />customary work required to fully and adequately complete the on -call neutral administrative hearing <br />services as described in further detail in the Scope of Services from RFQ # 22-016, attached hereto as <br />Exhibit A, and S&W's Proposal, attached hereto as Exhibit B. <br />2. COMPENSATION <br />a. City agrees to pay, and S&W agrees to accept as total payment for its services for City, the <br />rates and charges identified in Exhibit B. The total amount to be expended during the term of <br />this Agreement shall not exceed Fifty Thousand Dollars and Zero Cents ($50,000.00). <br />b. Payment by City shall be made within 45 (forty-five) days following receipt of proper invoice <br />evidencing work performed, subject to City accounting procedures. Payment need not be made <br />for work that fails to meet the standards of performance set forth in the Recitals which may <br />reasonably be expected by City. <br />Page 1 of 9 <br />
