If either parry is unable to perform any of its obligations under this Agreement due <br />to events beyond its reasonable control, the City shall have the right to reschedule <br />the event at a time mutually agreed upon with the Contractor. The Contractor will <br />not be compensated for any expenses incurred for the original date of performance. <br />Events beyond a parry's reasonable control ("Force Majeure Event") shall include <br />but are not limited to: <br />1. Act of God; <br />2. Any order, rule or regulation of any court or government agency; <br />3. Government restrictions; <br />4. Wars, insurrections, terrorism, or civil disorder in or around the <br />performance venue; <br />Outbreak of disease; <br />6. Strikes, lockouts, or other forms of labor difficulties; and/or <br />7. Any other cause beyond the reasonable control of the parry whose <br />performance is affected. <br />C. If a Force Majeure Event occurs pursuant to Section 17(d), the parties' respective <br />obligations will be excused fully, without any additional obligations, and each <br />party shall bear its own costs incurred in connection with this Agreement. If the <br />performance is canceled pursuant to a Force Majeure event, then the parties will <br />use reasonable efforts to reschedule the performance at a mutually acceptable time <br />and venue. <br />18. NON-DISCRINIINATION <br />Contractor shall not discriminate because of race, color, creed, religion, sex, marital status, <br />sexual orientation, gender identity, gender expression, gender, medical conditions, genetic <br />information, or military and veteran status, age, national origin, ancestry, or disability, as defined <br />and prohibited by applicable law, in the recruitment, selection, teaching, training, utilization, <br />promotion, termination or other employment related activities or any services provided under this <br />Agreement. Contractor affirms that it is an equal opportunity employer and shall comply with all <br />applicable federal, state and local laws and regulations. <br />19. JURISDICTION -VENUE <br />This Agreement has been executed and delivered in the State of California and the validity, <br />interpretation, performance, and enforcement of any of the clauses of this Agreement shall be <br />determined and governed by the laws of the State of California. Both parties further agree that <br />Orange County, California, shall be the venue for any action or proceeding that may be brought or <br />arise out of, in connection with or by reason of this Agreement. <br />Page 8 of 9 <br />
