TO PROVIDE HARDSCAPE <br />PAVEMENT CLEANING AND INFECTIOUS WASTE REMOVAL SERVICES IN THE <br />0963A( f M46 s0 A.) r s\ I SANTA ANA CIVIC CENTER <br />C�, THIS AGREEMENT is made and entered into on this 17th day of May, 2022 by and between Superior Property <br />�o Services, Inc., a California corporation ("Contractor"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of California ("City"). <br />.- 4 <br />_J RECITALS <br />A. On January 24 2022 PRCSA issued Request for Proposal No. 22-010 � q p (RFP) for the hardscape pavement <br />cleaning and infectious waste removal services. The RFP was posted on PlanetBids, where 30 vendors <br />were notified, 26 vendors downloaded the RFP and one vendor submitted a proposal. <br />B. The proposal that was submitted is from the existing vendor that currently provides service in the Civic <br />Center. An evaluation committee consisting of representatives from PRCSA reviewed the proposal. Due <br />to the experience of the vendor in working in the area as well as professional working relationship with <br />the City, the evaluation committee made a recommendation to continue with Superior Property Services, <br />Inc. for a four-year agreement, beginning July 1, 2022 through June 30, 2026. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its <br />field and that any services performed by Contractor under this Agreement will be performed in compliance <br />with such standards as may reasonably be expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and <br />conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall perform during the term of this Agreement, the tasks and obligations including all labor, <br />materials, tools, equipment, and incidental customary work required to fully and adequately complete the services <br />described and set forth in Scope of Services - Exhibit A, attached hereto and incorporated by reference. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services for City, the rates <br />and charges identified in Compensation - Exhibit B. The total annual compensation for services <br />provided under RFP 22-010 shall not exceed Three Hundred Sixteen Thousand Six Hundred Forty - <br />Two Dollars and Zero Cents ($316,642). The annual sum is comprised of (a) the base amount of <br />$263,868 and (b) a 20% contingency in the amount of $52,774 for additional services to be performed <br />by the Contractor at the sole discretion of the City. <br />b. Payment by City shall be made within forty-five (45) days following receipt of proper invoice <br />evidencing work performed, subject to City accounting procedures. Payment need not be made for <br />work which fails to meet the standards of performance set forth in the Recitals which may reasonably <br />be expected by City. <br />Cc7INEVIWIi31 <br />This Agreement shall commence on July 1, 2022 for a four (4) year term ending June 30, 2026, unless <br />
