The GRANTEE further agrees to indemnify, hold harmless, and pay all costs for the defense of <br />the CITY, including fees and costs for special counsel to be selected by the CITY, regarding any <br />action by a third party challenging the validity of this Agreement, or asserting that personal injury, <br />damages, just compensation, restitution, judicial or equitable relief due to personal or property <br />rights arises by reason of the terms of, or effects arising from this Agreement. CITY may make <br />all reasonable decisions with respect to its representation in any legal proceeding. Notwithstanding <br />the foregoing, to the extent GRANTEE's services are subject to Civil Code Section 2782.8, the <br />above indemnity shall be limited, to the extent required by Civil Code Section 2782.8, to claims <br />that arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the <br />GRANTEE. <br />8. GRANT PROGRAM REQUIREMENTS <br />Funds from the SLFRF will be used to fund all or a portion of this Agreements. As <br />applicable, GRANTEE shall comply with all federal requirements, including, but not limited to, <br />the following, all of which are expressly incorporated herein by reference: <br />a. Sections 602 and 603 of the Social Security Act.as added by Section 9901 of ARPA; <br />b. U.S. Department of the Treasury ("Treasury") Final Rule for the Act; <br />C. Treasury Compliance and Reporting Guidance for the Act; <br />d. 2 C.F.R. Part 200 — Uniform Administrative Requirements, Cost Principles, and <br />Audit Requirements for Federal Awards, other than such provisions as the U.S. <br />Department of the Treasury may determine are inapplicable to the SLFRF program <br />and subject to such exceptions as may be otherwise provided by the U.S. <br />Department of the Treasury; <br />e. Treasury Coronavirus Local Fiscal Recovery Fund Award Terms and Conditions; <br />and, <br />f. Federal contract provisions attached hereto as Exhibit B and incorporated herein by <br />reference. <br />Subcontracts, if any, shall contain a provision making there subject to all of the provisions <br />stipulated in this Agreement. With respect to any conflict between such federal requirements and <br />the terms of this Agreement and/or the provisions of state law and except as otherwise required <br />render federal law or regulation, the more stringent requirement shall control. <br />9. RECORDS AND REPORTING REQUIREMENTS <br />For reporting purposes, the Grant Program shall be categorized under United States <br />Department of Treasury Expenditure Category 1.11: Community Violence Interventions. <br />GRANTEE shall retain all records and documents related to the Grant Program for five (5) years <br />after the termination of this Agreement.
