INSURANCE NOf UN HILL <br />WORK MAY NOT PROCEEL <br />CLERK OF�C�O,I V I1 <br />DATE: iiUU 42023 <br />A-2023-007 <br />�:1r(A) THIS FIRST AMENDMENT to the above -referenced agreement is entered into on January 17, 2023, by <br />(Mi z VF) (AV) and between Software One, Inc., a Wisconsin corporation ("Software One'), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of the State <br />of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. A-2020-008 ("Agreement") dated January 21, 2020, <br />selecting Software One as the licensing solution provider through which the City would purchase <br />Microsoft licenses and services under the terms and conditions of the Microsoft Enterprise <br />Agreement and Microsoft Select program for State and Local Government and the Microsoft SLP <br />Agreement for State and Local Governments. <br />13_ Agreement No. A-2020-008 is current and in -effect through January 31, 2023 and provides for an <br />additional three (3) year term exercisable by the City Council. <br />C. Per the terms of the Agreement, the parties wish to amend the Agreement to extend the term of the <br />Agreement and increase the overall compensation to cover costs related to the extended term for <br />the Agreement. <br />The Parties therefore agree: <br />1. Section 2.a, Compensation, is hereby amended to increase the total sum to be expended under this <br />Agreement by One Million, Five Hundred Thousand Dollars and Zero Cents ($1,500,000.00) for a new <br />not to exceed amount of $2,700,000.00 for the term of this Agreement, including any extensions. <br />2. Section 3, Term, is amended to extend the term of the Agreement until January 31, 2026. <br />3.
