INSURANCE NOT ON FILE WORK MAY NOT PROCEED CITY CLERK DATE: N-2021-254-01 fQlp ASSIGNMENT AND ASSUMPTION OF LEGAL SERVICES AGREEMENT 7os5,rii O.fJ�iMaroi,� This Assignment and Assumption of Legal Services Agreement is made and entered into this _ day of May, 2023, between Lewis Brisbois Bisgaard & Smith LLP, a California limited liability partnership (LEWIS); Barber Ranen LLP, a California limited liability partnership o (BARBER); and the City of Santa Ana, a charter city of the State of California (CITY). N 0 z WITNESSETH: Whereas, the CITY entered into an agreement with LEWIS to provide certain legal services to the CITY, which agreement is dated November 19, 2021 and was amended February 15, 2022 (collectively, Agreement); and Whereas, LEWIS is in the process of working with BARBER to transfer cases and the responsibility for providing the legal services set forth in the Agreement; and Whereas, the attorneys at LEWIS who have been providing the legal services to CITY under the Agreement have joined BARBER, a law firm, effective May 1, 2023; and Whereas, in order to ensure that there is no interruption of services to CITY, LEWIS desires to assign, and BARBER desires to assume, the obligations under the Agreement; and Whereas, the CITY desires to continue the Agreement and to consent to the assignment of the Agreement from LEWIS to BARBER; Now therefore, for good and valuable consideration, the receipt and adequacy of which of hereby acknowledged, the parties hereto agree as follows: 1. Effective May 1, 2023, LEWIS shall assign all its rights and interest in and to the Agreement related to CITY, to BARBER except for LEWIS's right to collect fees for work performed and costs incurred under the Agreement prior to May 1, 2023. 2. Effective May 1, 2023, BARBER agrees to assume all duties and obligations under the Agreement in favor of the CITY, except for those duties and obligations related to work performed and costs incurred under the Agreement prior to May 1, 2023, and agrees to perform same on the same terms and condition set forth therein. 3. CITY hereby consents to the assignment and assumption of the Agreement by LEWIS to BARBER on the same terms set forth therein.
