<br />Base Year. The "Base Year" is hereby amended to reflect calendar year 2023.
<br />6. Subsection 1.4.1, Waiver of Liability and Indemnification, of the Standard Lease
<br />Provisions, is hereby amended as follows:
<br />Except to the extent caused by the gross negligence of Landlord or its agents, contractors
<br />or employees, Tenant hereby waives all claims and causes of action against Landlord and
<br />all of the other Landlord Parties for any damage to persons or property (including, without
<br />limitation, loss of profits and intangible, property) in any way relating to Tenant' s use and
<br />occupancy of the Premises from any cause whatsoever, including, without limitation fire,
<br />explosion, falling plaster, steam, gas, air contaminants or emissions, electricity, electrical
<br />or electronic emanations or disturbance, water, rain or snow or leaks from any part the
<br />Building or from the pipes, appliances, equipment or plumbing works or from the roof,
<br />street or sub -surface or from any other place or caused by dampness, vandalism, malicious
<br />mischief. Tenant shall indemnify, defend, protect and hold harmless Landlord and each of
<br />the Landlord Parties from and against any and all Claims that arise out of are occasioned
<br />by or are in any way attributable to: (a) the use or occupancy of the Premises or any portion
<br />of the Project by Tenant, (b) the acts or omissions of Tenant or any Tenant Party, (c) any
<br />default of this Lease by Tenant, or (d) any litigation or other proceedings between Tenant
<br />and any third party; provided that Tenant shall not be required to so indemnify, defend or
<br />hold Landlord or any of the other Landlord Parties harmless to the extent that any such
<br />Claims arise out of the gross negligence or willful misconduct of Landlord, its agents or
<br />employees.
<br />7. Tenant Improvements. Landlord consents to (but does not require) Tenant's
<br />completion of certain improvements to the Premises (collectively, the "Tenant Improvements"),
<br />subject to the terms and conditions of Exhibit A attached hereto and made a part hereof.
<br />8. As -Is Condition. Tenant accepts the Premises in its "AS -IS, WHERE -IS"
<br />condition as of the Effective Date, and Landlord makes no representation or warranty concerning
<br />the condition of the Leased Premises and has no obligation to construct, remodel, improve, repair,
<br />decorate or paint the Premises or any improvement on or a part of the Premises, except as may be
<br />otherwise set forth in the Lease. Tenant represents that (a) it has been in possession of the Premises
<br />pursuant to the Lease, (b) it has inspected the Premises prior to execution of this First Amendment,
<br />(c) it is not relying on any statement, representation or warranty of Landlord, its employees or
<br />agents, and (d) is fully satisfied with the condition of the Premises.
