<br />Community Workforce Agreement 30 City of Santa Ana <br />specification should a Court of competent jurisdiction issue any order, or any applicable statute <br />which could result, temporarily or permanently in delay of the bidding, awarding and/or <br />construction on the Project. Notwithstanding such an action by the City, or such court order or <br />statutory provision, the Parties agree that the Agreement shall remain in full force and the fact on <br />covered Project Work to the maximum extent legally possible. <br /> <br />ARTICLE 19 <br />WAIVER <br /> <br />A waiver of or a failure to assert any provisions of this Agreement by any or all of the Parties <br />hereto shall not constitut e a waiver of such provision for the future. Any such waiver shall not <br />constitute a modification of the Agreement or change in the terms and conditions of the Agreement <br />and shall not relieve, excuse or release any of the Parties from any of their rights, duties or <br />obligations hereunder. <br /> <br />ARTICLE 20 <br />AMENDMENTS <br /> <br />The provisions of this Agreement can be renegotiated, supplemented, rescinded or otherwise <br />altered only by mutual agreement in writing, hereafter signed by the negotiating Parties hereto. In <br />the event of any conflict or ambiguity between this Agreement and any Attachment or exhibit, the <br />provisions of this Agreement shall govern. <br /> <br />ARTICLE 21 <br />DURATION OF THE AGREEMENT <br /> <br />Section 21.1 Duration <br /> <br />21.1.1 This Agreement shall be effective from the date signed by all Parties and shall <br />remain in effect for a period of ten (10) years. Any covered Project Work awarded during the term <br />of this Agreement shall continue to be covered hereunder, until completion of the Project Work, <br />notwithstanding the expiration date of this Agreement. <br /> <br />21.1.2 This Agreement may be extended by written mutual consent of the City, as directed <br />by the City Council and the signatory Unions for such further periods as the Parties shall agree to. <br /> <br />Section 22.2 Turnover and Final Acceptance of Completed Work <br /> <br />22.2.1 Construction of any phase, portion, section, or segment of Project Work shall be <br />deemed complete when such phase, portion, section or segment has been turned over to the City <br />by the Contractor and the City has accepted such phase, portion, section, or segment. As areas and <br />systems of the Project are inspected and construction-tested and/or approved and accepted by the <br />City or third parties with the approval of the City, the Agreement shall have no further force or <br />effect on such items or areas, except when the Contractor is directed by the City to engage and <br />repairs or modifications required by its contract(s) with the City. <br />
