<br />Page | 70 <br />4894-6811-3695v.2 0017787-000542 <br />4894-6811-3695v.2 0017787-000542 <br /> <br />EXHIBIT D <br />FORM OF MEMORANDUM OF LEASE <br />MEMORANDUM OF LEASE <br /> <br />This is a Memorandum of Lease (“Memorandum”) made and entered into as of this __________ <br />day of __________, 20___, by and between the County of Orange, a political subdivision of the State <br />of California, the Housing Authority of the City of Santa Ana, a public body, corporate and politic <br />(collectively, the “Lessor”) and __________, (“Tenant”), residing at _________, upon the following <br />terms: <br /> <br />1. Lease. The provisions set forth in a written ground lease between the parties hereto dated <br />__________ (“Lease”), are hereby incorporated by reference into this Memorandum. <br /> <br />2. Subject Premises. The Premises which are the subject of the Lease are more particularly <br />described as on Exhibit A, attached hereto <br /> <br />3. Effective Date of Lease. The Lease shall be deemed to have commenced on __________ (the <br />“Effective Date”) as set forth within the terms of the Lease. <br /> <br />4. Term. The Term of the Lease shall be Sixty-Five (65) years from the Effective Date as stated in <br />the written Lease. The Term shall commence on the date hereof and terminate Sixty-Two (62) years <br />from the Commencement Date, which is the date on which a Certificate of Occupancy is issued for <br />the Project, provided, however the Term shall be no longer than sixty five (65) years from the <br />Effective Date. <br /> <br />5. Duplicate Copies of the originals of the Lease are in the possession of the Lessor and Tenant and <br />reference should be made thereto for a more detailed description thereof and for resolution of any <br />questions pertaining thereto. The addresses for Lessor and Tenant are as follows: <br /> <br />If to Lessor: County of Orange <br /> c/o CEO/Corporate Real Estate <br /> 333 W. Santa Ana Blvd, 3rd Floor <br /> Santa, Ana, CA 92702 <br /> Attn: Chief Real Estate Officer <br /> <br />And to: <br /> <br />Housing Authority of the City of Santa Ana <br />20 Civic Center Plaza (M-26) <br />P.0.
