<br />EXHIBIT 1 <br />EXHIBIT A <br />SCOPE OF WORK <br />PARKING FACILITIES MANAGEMENT AGREEMENT <br />City of Santa Ana, CA <br />The Parking Operator will be responsible for performing the following duties andresponsibilitiesunder <br />thestated guidelines and procedures as listed below: <br />A. General Duties <br />During the hours of operation established by Owner for the Parking Facilities, Operator will manage, <br />operate, direct, and supervise a first-class parking operation throughout the Base Period and any <br />Option Periods. Services to be provided by Operator in connection therewith will include without <br />limitation the following: <br />1. Management and operation of the Parking Facilities (Exhibit B), including supervision of the <br />parking and circulation of vehicles inside the Parking Facilities, and administration and <br />monitoring of access control credential use. <br />2. Collection of and accounting for all cash and other payments from any source derived from the <br />use of the Parking Facilities, including sums payable with respect to daily and monthly parking <br />fees and outside contracts. <br />3. Operation and maintenance of the Parking Access and Revenue Control System (PARCS) <br />equipment installed at the Parking Facilities, and coordination with the PARCS vendor. <br />4. Employment of such parking attendants and other personnel for the management and <br />operation of the Parking Facilities in a first-class manner. <br />5. Management of event parking and validation sales. <br />6. Valet assist parking services when required, and as specified. <br />7. Maintenance of accounting records of all income and expenses related to the management and <br />operation of the Parking Facilities. <br />8. Maintenance of Electric Vehicle Charging Stations (EVCS) by coordinating with the Electric <br />Vehicle service provider. <br />9. General maintenance, janitorial services, and landscaping services, as described herein and as <br />part of the Operations and Maintenance Plan, to ensure the Parking Facilities are representative <br />of first-class parking facilities. <br />10. Coordinate with the selected vendor for implementation and maintenance of mobile payment <br />applications. <br />11. Coordination with City of Santa Ana’s Parking Services Enforcement efforts in the Facilities on a <br />daily basis. The City is currently contracted with Serco to provide these services. <br />12. Ongoing consultation with Owner on matters relating to the management and operation of the <br />Parking Facilities, including providing Owner with recommendations regarding how to increase <br />the efficiency and lower the cost of parking operations, as well as transportation demand <br />management. <br />B. Operator will be responsible for implementing any and all decisions of Owner, upon its request, and <br />for initiating and taking such actions (not inconsistent with this Agreement) in the management and <br />administration of the Parking Facilities in order to achieve the first-class standard of operations, <br />maximum efficiency, and overall success of the Parking Facilities for the benefit of Owner. <br />C. Use of Parking Facilities <br />Operator will manage, operate, and maintain the Facilities as a parking facility for vehicles in <br />accordance with guidelines set forth by Owner. Operator will not use the Facilities for purposes other <br />than those required under the Agreement. Owner reserves the right to itself and others for <br />A-1
