(Per Diem & expenses charged when employee is staying overnight) <br />Rates valid through December 31, 2023. <br />Minimum 10-hour charge for all service out of the area. (Non -driving distances) <br />Minimum 4-hour charge for all local service in the area. (Includes driving time) <br />OTHER TERMS: <br />SOFFA's time will be invoiced to Client on a regular basis. Client shall have 5 business days to object to any specific <br />entry contained on SOFFA's invoice. If no specific objection to SOFFA's invoice is given in writing to SOFFA before <br />the end of 5 calendar days following Client's receipt of same, Client will be deemed to have waived any claim to <br />irregularities in the invoice. If any objection to SOFFA's weekly invoice is timely made by Client, the parties agree <br />to meet within three (3) days to discuss the objection and attempt to come to an informal resolution of the dispute. <br />If no resolution is reached within three (3) days of the making of the objection, the dispute resolution procedure <br />set forth herein below shall be used. If a timely written objection is made to any entry on any SOFFA invoice <br />which is not resolved by informal negotiations between the parties, the parties agree to the following dispute <br />resolution procedure. <br />If the sum of money that is the subject of the objection remains cumulatively less than 10% of the total invoiced <br />amount to date under this Agreement, the parties agree to continue to cumulate the amount in dispute until <br />either the work to be performed by SOFFA for Client has concluded or the amount in controversy exceeds 10% <br />of the total invoiced amount to date. <br />SOFFA 1 5901 Corvette Street I Commerce, CA 90040 1 323.728.0230 1 www.SoffaElectric.com <br />
