(the “Bank”) since 1995. The Bank <br />provides Athens with a credit facility under the terms of a duly executed Credit Agreement. As of the date <br />of this letter, the Company has sufficient capacity available under the credit facility to fund the capital <br />requirements for the proposed contract for transfer, processing and/or disposal services. In addition, the <br />Company has excess capacity under the credit facility to meet its operating and capital requirements in <br />addition to the requirements specific to the above referenced contract. <br />In conjunction with its credit facility with Wells Fargo, Athens provides us with quarterly financial <br />statements and annual audited financial statements. We have reviewed Athens' audited financial <br />statements for the most recent fiscal year. Athens has satisfied all of its past and current financial <br />obligations to Wells Fargo Bank. Based on its satisfactory past financial performance, we are not aware <br />of any impediments that would prevent Athens from fulfilling any reasonable financial requirements <br />under any and all of the services proposed for the transfer, processing and/or disposal services for residual <br />municipal solid waste contract. <br />Please feel free to contact me with any questions (415) 948-1865. <br />Sincerely, <br />Logan Taylor <br />Senior Vice President
