Page 1 of 10 <br />AGREEMENT BETWEEN NATI’S HOUSE AND <br />CITY OF SANTA ANA FOR GANG PREVENTION AND INTERVENTION PROGRAM <br />SERVICES <br />THIS AGREEMENT is made and entered into on this day of , 2023 by <br />and between Nati’s House dba Neutral Ground, a California nonprofit corporation (“Consultant”), <br />and the City of Santa Ana, a charter city and municipal corporation organized and existing under <br />the Constitution and laws of the State of California (“City”). The City and Consultant shall be <br />collectively referred to as “Parties.” <br />RECITALS <br />A.On June 1, 2023, the City issued a Request for Proposal No. 23-090A (“RFP 23-090A”), <br />by which it sought qualified contractors to provide special skill and knowledge in the field <br />of gang prevention and intervention program services that promote a proactive, <br />preventative approach to addressing concerns with at-risk youth and gang activity. <br />B.Consultant submitted a responsive proposal that was among those selected by the City. <br />Consultant represents that Consultant is able and willing to provide services to the City that <br />were described in the scope of work included in RFP 23-090A. <br />C.In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1.SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services described and set forth in the Scope of Work that was <br />included in RFP 23-090A, which is attached as Exhibit A, and incorporated in full, and as <br />summarized in Consultant’s Scope of Work and Budget, which is attached as Exhibit B and <br />incorporated in full. <br />2.COMPENSATION <br />a.City agrees to pay, and Consultant agrees to accept as total payment for its services for <br />City, the rates and charges identified in Exhibit B. The total amount to be expended <br />during the term of this Agreement shall not exceed $200,000 annually, for a total of <br />$400,000 including extension period. The total not-to-exceed amount for the aggregate <br />amount available to all the retained consultants shall be $800,000, including extension <br />period. <br />EXHIBIT 2
