THIRD AMENDMENT TO AGREEMENT TO PROVIDE PLANNING AND <br />IMPLEMENTATION SERVICES FOR THE AUTOMATED METER <br />INFRASTRUCTURE PROJECT <br />THIS THIRD AMENDMENT TO AGREEMENT is made and entered into this 21ST day of <br />November, 2023, by and between E Source Companies, LLC, a Delaware limited liability <br />company ("Consultant"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California ("City"). City <br />and Consultant shall hereinafter collectively be referred to as "the Parties". <br />RECITALS <br />A. On May 7, 2019, the Parties entered into Agreement No. A-2019-066 to Provide <br />Planning and Implementation Services for the Automated Meter Infrastructure <br />Project ("Agreement"). <br />B. On February 18, 2020, the Parties entered into a First Amendment to the Agreement <br />(A-2020-026) to expand the Scope of Services previously established and to <br />increase compensation in connection with the additional scope of work by $68,720, <br />with a 10% contingency of $6,872 for a total amount not to exceed $75,592. <br />C. On January 18, 2022, the Parties entered into a Second Amendment to the <br />Agreement (A-2022-005) to amend the scope of services and compensation terms <br />of the Agreement. <br />D. On February 3, 2020, UtiliWorks was acquired by E Source Companies LLC and <br />is now using the name E Source Companies LLC or simply E Source. The City <br />acknowledged and accepted the assignment of services to E Source Companies <br />LLC for the remainder of the term of the Agreement. <br />E. On April 3, 2023, the Parties opted to extend the term of the Agreement, as <br />amended, for an additional one year term until May 6, 2024. <br />F. The Parties wish to further amend the Agreement to extend the term of the <br />Agreement and provide additional compensation for this extension. <br />THE PARTIES THEREFORE AGREE: <br />1. Section 2, Compensation, shall be amended to increase the total amount of the <br />compensation by $250,000. The total amount to be expended during the term of this <br />Agreement, as amended, shall not exceed $1,268,058. <br />2. Section 3, TERM, shall be amended to extend the term of the Agreement through <br />November 20, 2024. <br />
