ARTICLE XIV <br />Miscellaneous <br />Section 1. Inspection of Books and Records. <br />(a) Member Inspection Rights. The Members' rights to inspect and copy Association <br />records shall be governed by Civil Code Section 1365.2, or any comparable superseding statute. <br />(b) Director Inspection Rights. Every Director shall have an absolute right, subject to <br />applicable law, at any reasonable time to inspect all books, records, documents, and minutes of the <br />Association and the physical properties owned by the Association. The right of inspection by a Director <br />includes the right to make extracts and copies of documents. <br />(c) Adoption of Reasonable Inspection Rules. The Board of Directors may establish <br />reasonable rules with respect to (i) notice of inspection, (ii) hours and days of the week when inspection <br />may be made, and (iii) payment of the cost of reproducing copies of documents requested by the Member. <br />(d) Board Meeting Minutes. The minutes themselves, minutes proposed for adoption that <br />are marked to indicate draft status, or a summary of the minutes of any meeting of the Board of Directors, <br />other than the minutes of any executive session, shall be available to the members within 30 days <br />following the meeting. The minutes, proposed minutes, or summary of the minutes shall be distributed <br />to any Member on request and on reimbursement of the Association's costs of making that distribution. <br />Members shall be notified in writing of the Members' right to have copies of the minutes of any Board <br />meeting and how and where those minutes may be obtained. <br />Section 2. Robert's Rules of Order. In the event of a dispute concerning the procedural aspects <br />of any meetings which cannot be resolved by reference to these Bylaws or applicable law, the matter shall <br />be resolved by reference to Robert's Rules of Order. <br />Section 3. Amendment or Repeal of Bylaws by Directors and Members. <br />(a) Amendment by Directors. Except as provided in this subparagraph (a), these Bylaws <br />may be adopted, amended, or repealed ("changed") by the vote of a majority of all Directors. The right <br />of the Directors to change these Bylaws shall not apply to any amendment that: <br />(i) Changes the number of Directors (Corporations Code Section 7151(b)); <br />(ii) Changes any provision pertaining to Directors who hold office by designation <br />(Corporations Code Section 7220(d)); <br />(iii) Changes any provision pertaining to the filling of vacancies on the Board which <br />must, by the terms of these Bylaws, be filled by the vote of the Members; <br />Section 7512); <br />(iv) Changes the quorum requirements for membership meetings (Corporations Code <br />-20- <br />City Council 26 — 646 1/16/2024 <br />
