INSURANCE ON FILE WORK MAY PROCEED N-2022-303-02 UNTIL INSURANCE EXPIRES i�ti3�yov-j CITY CLERK DATE: F 2 3 2024 D. cpAC��B ARTS AND CULTURE ARTIST GRANT PROGRAM AGREEMENT BETWEEN D fie) THE CITY OF SANTA ANA AND ALICIA ROJAS This Artist Grant Agreement ("Agreement") is made and entered this 26"" day of January, 2024, by and between the City of Santa Ana, a charter City and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"), and Alicia Rojas ("Grantee") for the purpose or providing grant funding pursuant to the Investing in the Artist Grant Program. City and Grantee may herein individually be referred to as a "Party" and collectively be referred to as the "Parties" to the Agreement. RECITALS: A. On June 17, 2022, the Arts and Culture Commission reviewed all applicants and recommended that Grantee be awarded an artist grant based on its Application for its art project ("Project"). On August 4, 2022 the City and Grantee entered into Agreement #N- 2022-303 ("2022 Agreement") to complete the Project detailed in the 2022 Agreement, attached hereto as Exhibit A and incorporated herein by reference. B. The 2022 Agreement was accompanied by a letter dated August 30, 2022, regarding compliance with the American Rescue Plan Act (#N-2022-303,-01) for services rendered by the Grant Agreement, attached hereto as Exhibit B and incorporated herein by reference. C. The 2022 Agreement terminated on August 3, 2023; however, Grantee continued to provide services related to the 2022 Agreement with the City's permission. City and Grantee agree that said services are subject to completion by Grantee, subject to the terms of this Agreement and consistent with the details of the awarded Project. D. In undertaking the performance pursuant to this Agreement, Grantee represents that it is skilled and knowledgeable in the arts and culture arena and that the Project created or performed hereunder will be created or performed in compliance with such standards as may reasonably be expected from an artist. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the Parties agree as follows: 1. Term. This Agreement shall be effective upon signature by both Parties and shall expire one year from the date first written above, unless terminated earlier in accordance with this Agreement. 2. Funding. 2.1. Subject to Grantee's performance of all required actions under this Agreement, City shall provide the funding, in a final and full amount not to exceed $3,334.00, which was part of the original Grant Amount in the 2022 Agreement ("Grant Amount" or "Grant"). 2.2. Payment by City shall be made within forty-five (45) days after the Grantee submits to the City all the proper receipts, invoices, and final report for the Project. City and Consultant agree that all payments due and owing under this Agreement shall be made through Automated Clearing House (ACH) transfers. Consultant agrees to execute the City's standard ACH Vendor Payment Authorization and provide required documentation. Upon verification of the data provided, the City will be authorized to deposit payments directly into Consultant's account(s) with financial
