6. TERM The term of this Agreement shall commence on the date first written above and <br />terminate on January 31, 2026 unless terminated earlier pursuant to Section 15 below. The term of <br />this Agreement may be extended for up to one (1) year upon a writing executed by both parties, <br />including the City Manager and the City Attorney. <br />7. INDEPENDENT CONTRACTORS It is mutually agreed by and between the parties that, <br />in the performance of their covenants hereunder, Attorneys are and shall be independent contractors, <br />and not officers or employees of City. <br />8. INSURANCE Attorneys shall provide to the Executive Director of Human Resources <br />proof of insurance prior to undertaking performance of work under this Agreement, Attorneys <br />shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as <br />described below: <br />a. Commercial General Liability (CGL): Insurance Services Office Form CG 00 <br />01covering CGL on an "occurrence" basis, including products and completed <br />operations, property damage, bodily injury and personal & advertising injury with <br />limits no less than $1,000,000 per occurrence and $2,000,000 aggregate. <br />b. Automobile Liability: Insurance Services Office Form Number CA 0001 covering, <br />Code 1 (any auto), or if Instructor has no owned autos, Code 8 (hired) and 9 (non - <br />owned), with combined single limit no less than $1,000,000. <br />C. Workers' Compensation: as required by the State of California, with Statutory <br />Limits, and Employer's Liability Insurance with limit of no less than $1,000,000 <br />per accident, policy or employee for bodily injury or disease. <br />d. Professional Liability (errors and omissions) insurance; with limits not less than <br />$2,000,000 per claim and $4,000,000 aggregate, and maintain such insurance <br />throughout the term of this Agreement. <br />e. If the Attorneys maintain broader coverage and/or higher limits than the minimums <br />shown above, the City of Santa Ana requires and shall be entitled to the broader <br />coverage and/or the higher limits maintained by the Attorneys. Any available <br />insurance proceeds in excess of the specified minimum limits of insurance and <br />coverage shall be available to the City of Santa Ana. <br />f. Other Insurance Provisions - The insurance policies are to contain, or be endorsed <br />to contain, the following provisions: <br />Additional Insured Status- The City of Santa Ana, its City Council, officers, <br />officials, employees, agents, and volunteers are to be covered as additional <br />insureds on the CGL, Automobile Liability and Professional Liability <br />policies with respect to liability arising out of work or operations performed <br />by or on behalf of the Attorneys including materials, parts, or equipment <br />furnished in connection with such work or operations. <br />
