C P D C16) AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br />Ip 4 ,kpnui/V� WITH HANSON BRIDGETT LLP <br />THIS AMENDMENT to the above -referenced agreement is entered into on March 19, 2024, by <br />and between Hanson Bridgett LLP, a limited liability partnership ("Attorneys") and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution <br />and laws of the State of California ("City"). <br />RECITALS <br />A. The parties entered into Agreement No. N-2023-211 ("Agreement') dated July 28, 2023, <br />to provide legal and investigative services. The Agreement is current and in effect. <br />B. The parties now wish to amend the Agreement to increase the total "not to exceed" amount <br />available under the Agreement, and revise the term of the Agreement. No other changes <br />are contemplated by this Amendment. <br />The Parties therefore agree: <br />Section 2.b., Compensation, is amended to increase the compensation amount by <br />$125,000. The total amount to be expended during the term of this Agreement shall not <br />exceed $175,000. <br />2. Section 6, Term, is amended to read as follows: <br />The term of this Agreement shall commence on the date first written above and terminate <br />on June 30, 2025, unless terminated earlier pursuant to Section 15 below. The term of this <br />Agreement may be extended for up to one (1) year upon a writing executed by both parties, <br />including the City Manager and the City Attorney. <br />Except as modified by this Amendment, all terms and conditions of the Agreement, shall <br />remain in fall force and effect. <br />[signatures on following page] <br />
