INSURANCE ON FILE A-2024-041 <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />_I 11212,A <br />CITY CA 1 9 2024 <br />AGREEMENT BETWEEN THE CITY OF SANTA ANA AND HERA PROPERTY <br />C•�'Ua.zulinnS REGISTRY, LLC FOR FORECLOSURE, ABANDONED VACANT LOTS, AND <br />STRUCTURE REGISTRATION SERVICES <br />THIS AGREEMENT is made and entered into this 2nd day of April, 2024 by and between Hera <br />Property Registry, LLC, a Florida limited liability company ("Consultant"), and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and <br />laws of the State of California ("City"). <br />RECITALS <br />A. On October 19, 2023, the City issued Request for Proposal ("RFP") No. 23-133, by which <br />it sought proposals from qualified firms to provide professional services for the <br />Registration and Maintenance of Abandoned and Foreclosed Mortgage Properties (bank - <br />owned), vacant lots (with or without structures), and Historic Properties (bank -owned and <br />privately -owned) within the City of Santa Ana. <br />B. Consultant submitted a responsive proposal that the City selected. Consultant represents <br />that it is able and willing to provide the services described in the scope of work that was <br />included in RFP No. 23-133. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional contracting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />a. Consultant shall perform during the term of this agreement, the tasks and <br />obligations including all labor, materials, tools, equipment, and incidental <br />customary work required to fully and adequately complete the services described <br />in Exhibit A and Exhibit B, attached hereto and incorporated by reference. <br />2. COMPENSATION <br />a. City neither warrants nor guarantees any minimum or maximum compensation to <br />Consultant under the term of this Agreement, including any extension periods. <br />Consultant shall only be compensated for actual services performed under the <br />Agreement at the rate structure identified in Exhibit C, attached hereto and <br />incorporated by reference. <br />b.
