be made of all transactions relating to the receipts, disbursements, allocation and application of the <br />Revenues, and such books shall be available for inspection by the Trustee, at reasonable hours and <br />under reasonable conditions. Not more than 270 days after the close of each Fiscal Year, the <br />Authority shall furnish or cause to be furnished to the Trustee a complete financial statement <br />covering receipts, disbursements, allocation and application of Revenues for such Fiscal Year, and <br />including a statement of net position and a statement of net activities. The Authority shall also <br />keep or cause to be kept such other information as is required under the Tax Certificate. <br />SECTION 7.05. The City's Budgets. The Authority will supply to the Trustee, as <br />soon as practicable after the beginning of each Fiscal Year but in any event no later than September <br />1 of each Fiscal Year, a Certificate of the City certifying that the City has made adequate provision <br />in its annual budget for such Fiscal Year for the payment of all installments due under the <br />Installment Purchase Agreement in such Fiscal Year. If the amounts so budgeted are not adequate <br />for the payment of all installments due under the Installment Purchase Agreement in such Fiscal <br />Year, the Authority will take such action as may be necessary and within its power to cause such <br />annual budget to be amended, corrected or augmented so as to include therein the amounts required <br />to be paid by the City in such Fiscal Year for the payment of all installments due under the <br />Installment Purchase Agreement in such Fiscal Year, and will notify the Trustee of the proceedings <br />then taken or proposed to be by the Authority. <br />SECTION 7.06. Installment Purchase Agreement and Other Documents. The <br />Authority will at all times maintain and vigorously enforce all of its rights under the Installment <br />Purchase Agreement, and will promptly collect all installments due for the purchase of the Project <br />as the same become due under the Installment Purchase Agreement, and will promptly and <br />vigorously enforce its rights against any person who does not pay such installments as they become <br />due under the Installment Purchase Agreement. The Authority will not do or permit anything to <br />be done, or omit or refrain from doing anything, in any case where any such act done or permitted <br />to be done, or any such omission of or refraining from action, would or might be a ground for <br />cancellation or termination of the Installment Purchase Agreement by the purchaser thereunder. <br />SECTION 7.07. Other Liens. The Authority will keep the Project free from <br />judgments, mechanics' and materialmen's liens (except those arising from the acquisition, <br />construction and installation of the Project) and free from all liens, claims, demands and <br />encumbrances of whatsoever prior nature or character to the end that the security for the Bonds <br />provided herein will at all times be maintained and preserved free from any claim or liability <br />which, in the judgment of the Trustee (whose determination shall be final), might hamper the <br />Authority in conducting its business or interfere with the City's operation of the Project, and the <br />Trustee at its option (after first giving the Authority ten days' written notice to comply therewith <br />and failure of the Authority to so comply within such period) may (but shall not be obligated to) <br />defend against any and all actions or proceedings in which the validity hereof is or might be <br />questioned, or may pay or compromise any claim or demand asserted in any such action or <br />proceeding; provided, however, that in defending such actions or proceedings or in paying or <br />compromising such claims or demands the Trustee shall not in any event be deemed to have waived <br />or released the Authority from liability for or on account of any of its agreements and covenants <br />contained herein, or from its liability hereunder to defend the validity hereof and the pledge of the <br />Revenues made herein and to perform such agreements and covenants. <br />30 <br />55394.00068\42092121.3 <br />
