10. Final Acceptance <br />"Final Acceptance" is the event in which Licensee accepts and approves as being complete <br />SYMPRO' financial tracking program, consisting collectively of the products and services identified <br />in Exhibit A (Software Product Licenses). Licensee shall sign a "Final Acceptance" Form indicating <br />"Final Acceptance" when all of the following conditions are met: <br />a. SYMPRO delivers to Licensee the Software Products and services identified in Exhibit A and <br />with quality that can be reasonably expected from a typical provider of SYMPRO' type of <br />program; and <br />b. The entire system (as defined in Exhibits A) is operational in production use with no significant <br />issues for thirty (30) calendar days after "Go Live"; and <br />c. Software Product behaves in a manner consistent with SYMPRO' documentation and with <br />representations made to Licensee by SYMPRO during the pre -sales process. <br />11. Notice <br />Any notice, tender, demand, delivery, or other communication pursuant to this Agreement <br />shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first <br />class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication <br />in the manner provided in this Section, to the following persons: <br />To City: <br />Clerk of the City Council <br />City of Santa Ana <br />20 Civic Center Plaza (M-30) <br />P.O.
