time to time find necessary or appropriate to effectuate its purposes in entering into this <br />Restriction. <br />20. Governing Law. Homebuyer hereby agrees to comply with all ordinances, rules <br />and regulations of City and the City. Nothing in this Restriction is intended to be, nor shall it be <br />deemed to be, a waiver of any City ordinance, rule or regulation. This Restriction shall be <br />governed by the laws of the State of California. Any legal action brought under this Restriction <br />must be instituted in the Superior Court of the County of Orange, State of California, or in the <br />Federal District Court in the Central District of California, Santa Ana Division. <br />21. Amendment of Restriction. No modification, rescission, waiver, release or <br />amendment of any provision of this Restriction shall be made except by a written agreement <br />executed by Homebuyer and City. <br />22. City May Assign. City may, at its option, assign its rights hereunder without <br />obtaining the consent of Homebuyer. <br />23. Homebuyer Assignment Prohibited. In no event shall Homebuyer assign or <br />transfer any portion of this Restriction without the prior express written consent of City, which <br />consent shall be given by City only in the event that City determines that the assignee or <br />transferee is a Low or Moderate Income Household, that the assignee's or transferee's monthly <br />housing payments are at an Affordable Housing Cost, and that the assignee or transferee has <br />expressly assumed this Restriction by execution of a written assignment document to be <br />provided by City. This section shall not affect or diminish City's right to assign all or any <br />portion of its rights hereunder. <br />24. Notices. Any notices, requests or approvals given under this Restriction from one <br />party to another may be personally delivered or deposited with the United States Postal Service <br />for mailing, postage prepaid, registered or certified mail, return receipt requested to the following <br />address: <br />To Homebuyer: <br />Santa Ana, CA 92704 <br />To City: Housing City <br />City of Santa Ana <br />20 Civic Center Plaza (M-37) <br />Santa Ana, California 92701 <br />Attn: Housing Manager <br />Either party may change its address for notice by giving written notice thereof to the <br />other party. <br />11 <br />EXHIBIT B <br />
